Michael Coddington is a partner in the Faegre Baker Daniels corporate practice. Michael's practice includes representation of investment banks, venture capitalists, and public and private companies in a variety of general corporate matters, merger and acquisition transactions, and public and private offerings of debt and equity securities.

Securities Offering and Financing Transactions

In the area of securities law and finance, Michael has represented issuers, underwriters and investors in public offerings, PIPE transactions, Rule 144A transactions, public exchanges, and private offerings of debt and equity securities.

Public Offerings

Michael has represented a number of companies and investment banks in public offerings of equity and debt securities, including the representation of Piper Jaffray in several IPOs and follow-on offerings in a variety of industries. Representative public offerings include Capella Education Company's IPO and follow-on offerings, Golf Galaxy's IPO and Cryolife's public offering of convertible preferred stock. Michael has also represented public companies in connection with issuer tender offers, repurchases of stock, public exchange offers and other security purchase programs.

Private Placements, PIPEs and 144A offerings

Michael regularly represents issuers, investment banks, venture capital funds and hedge funds in private placements of debt and equity securities. Michael has represented issuers and underwriters on 144A offerings totaling more than $2.5 billion, including representation of Land O'Lakes, General Mills, Merrill Lynch and several Indian tribes. In addition, he has represented issuers, investment banks and hedge funds on numerous PIPE transactions. Michael has represented emerging companies in venture capital rounds and investors such as Whitebox Advisors, Norwest Equity Partners, St. Paul Venture Capital Partners, Piper Jaffray Ventures and PrairieGold Venture Partners.

Indian Tribe Finance Transactions

Michael has an active Indian tribe finance practice, representing tribes and investment banks in securities offerings and financing transactions for gaming, hotel and entertainment facilities. Recent financings include high yield debt offerings and syndicated loans for Nottawaseppi Huron Band of Potawatomi, Shingle Springs Band of Miwok Indians, Snoqualmie Indian Tribe, Pokagon Band of Potawatomi Indians and Muscogee (Creek) Nation. In addition, Michael represents developers, investors and machine lease vendors in financing transactions in Indian Country.

Mergers and Acquisitions

In the area of mergers and acquisitions, Michael has experience representing buyers, sellers and financial advisors in transactions involving cash, equity and debt consideration. For example, Michael represented Xata Corporation in its acquisition of Geologic, RBC Capital Markets in its acquisition of Freedom Capital Management, Bemrose Corporation plc in the sale of its US promotional products businesses, and United Shipping and Technology in its acquisition of Corporate Express Delivery Systems. In addition, Michael has extensive experience advising investment banks, particularly Piper Jaffray & Co., RBC Capital Markets, Craig-Hallum Capital Group, Green Holcomb & Fisher and Manchester Companies, in their role as financial advisors in various merger, acquisition and financing transactions.

Corporate Governance and Counseling

Michael's representation of public companies such as Capella Education Company, Xata Corporation and Land O'Lakes has afforded him significant experience in the areas of SEC reporting, corporate governance matters, trading and disclosure practices, proxy regulation, resales of restricted securities, and equity compensation plans. Michael also represents growing private companies as a member of the firm's emerging companies practice.
