Andrew J. Ritten joined Faegre Baker Daniels in 1993. His practice is focused in the areas of mergers and acquisitions, private equity, renewable energy, joint ventures, antitrust compliance, and general corporate counseling.
Mergers and Acquisitions. Andrew has participated in Faegre Baker Daniels' representation of buyers and sellers in several public and private stock and asset-based transactions involving amounts ranging from less than $200,000 to more than $1.2 billion. These deals have included stock-based mergers, management buyouts, leveraged transactions, and venture capital investments.
Private Equity. Andrew has advised issuers and investors in private equity financings and has prepared offering memoranda, subscription agreements, escrow agreements, intershareholder control, voting agreements, and related documents.
Renewable Energy. Andrew is regularly involved in renewable energy projects. His work in this area has involved ethanol and biodiesel and has included counseling to producers, lenders, equity investors, and service providers.
Joint Ventures. Andrew has participated in forming and documenting joint venture, joint development, and licensing arrangements in a variety of industries and structures. His work has included drafting and negotiating control documents, development agreements, supply agreements, license agreements, and liquidity arrangements. Andrew's clients in this area have included Cargill, Incorporated, Black River Asset Management, Guidant Corporation, and Hormel Foods Corporation.
Antitrust Compliance. Andrew is regularly involved in preparing pre-transaction filings under the Hart-Scott-Rodino Antitrust Improvements Act. His responsibilities have included extensive client counseling and negotiation with opposing counsel and federal regulators to obtain Federal Trade Commission and Department of Justice Antitrust Division approval for transactions. Andrew has completed over 160 filings and has experience in contested transactions and requests for additional information.
General Corporate Counseling. Andrew is regularly involved in advising companies on general corporate matters including corporate governance, contract preparation and negotiation, financing issues, restructurings, and ongoing strategic, transactional and regulatory matters. He has extensive experience with private, closely-held businesses in a variety of sizes.
