Partner

Tom is a partner in the health care industry team and exempt organizations group at Faegre Baker Daniels. His practice focuses on health care transactions, regulatory compliance, health information privacy, Medicare/Medicaid issues, and tax exemption matters. His work has included:

  • Performing legal compliance reviews of health care institutions and assisting in the development of compliance programs  
  • Advising health care providers, device manufacturers, medical product suppliers, and medical software/ASP licensors regarding patient privacy issues, including compliance with HIPAA's privacy, security and standardization requirements  
  • Advising hospitals and clinics regarding claims audits and overpayment issues  
  • Interpreting Medicare/Medicaid participation, coverage and reimbursement criteria for health care providers  
  • Counseling clinics, health systems, and manufacturers and retailers of medical products concerning statutory fraud and abuse and self-referral prohibitions  
  • Assisting hospitals, physician-hospital organizations, and health care systems in forming, merging and acquiring health care and health care related entities  
  • Advising health insurers and third party administrators regarding State and Federal health regulatory mandates  
  • Advising nonprofit corporations concerning tax exemption issues, including private inurement, unrelated business income, intermediate sanctions, and lobbying limitations  
  • Converting for-profit to nonprofit entities and executing mergers between same 
  • Organizing, joint-venturing and reorganizing laboratory and other ancillary providers  
  • Drafting and reviewing professional employment and services agreements  
  • Representing individual practitioners in licensing and disciplinary matters.

Tom brings a substantial background in litigation to his health care practice. He has participated in the defense of several federal and state health care Fraud/False Claims Act lawsuits, including the Minnesota settlement of Operation Bad Bundle, the first of the federal government's national enforcement initiatives targeting Minnesota providers. He has also negotiated and assisted on the implementation of Corporate Integrity Agreements imposed by DHHS Office of Inspector General, advised clients on voluntary disclosures under OIG's Voluntary Disclose Protocols, and conducted numerous internal investigations into alleged fraud and abuse, reimbursement and other compliance matters.
