Of Counsel

Charles D. Calvin represents clients in a broad range of corporate and commercial transactions, with particular emphasis on commercial real estate and project finance. He has extensive experience in all aspects of commercial property law, including conventional and leveraged leasing of both real and personal property, construction and long-term mortgage financing, sales and acquisitions, and real estate development. He has also had substantial experience in the sale, acquisition and financing of hospitals, electric power plants and other large industrial facilities.

In recent years, Charles' real estate practice has focused principally on acquisition, development and operation of mixed-use common interest communities, including condominium projects and planned communities, often in resort communities. Reflecting the vagaries of commercial real estate markets, Charles' practice at other times has emphasized the restructuring of loans on distressed real estate, including office buildings, hotels, shopping centers, apartments and development properties, as well as foreclosures and receiverships where voluntary restructuring proved impossible. In the early 1990s, a major part of his practice involved representing the liquidators of failed thrift institutions in connection with both public and sealed-bid auctions of real estate in Colorado, Utah and New Mexico. Throughout this period he has continued to represent clients engaged in a variety of non-real estate commercial and financing transactions

Representative transactions in which Charles has had primary responsibility include:

  • Representation of approximately 100 buyers of fractional interests in a failed resort condominium project in resolving claims against the defaulting developer and against the lender which foreclosed on the remaining 300 unsold fractional interests, including formation of a fractional subassociation to facilitate coexistence of fractional and whole-ownership condominiums
  • Representation of a U.K. affiliate of a Canadian bank in connection with $140 million in construction financing for a downtown Denver office building, and subsequent loan restructurings and acquisition of title by an affiliate of the lender
  • Formation and representation of holding and operating companies, created to acquire a nationwide alarm monitoring business from the estate of a Chapter 11 debtor, including negotiation of the acquisition agreement, bank financing documents and multiparty agreements to resolve disputes with other purchasers from the same estate
  • Representation of a major electronics research, development and manufacturing company in connection with its anonymous purchase, and subsequent development and eventual resale, of a 160-acre site in suburban Denver for a regional training campus
  • Representation of an international oil company in connection with its sale of some 75 convenience stores in Minnesota and Missouri to a single purchaser for cash
  • Representation of a nonprofit healthcare organization in connection with its purchase of all Colorado assets of a major proprietary healthcare provider, including several acute care hospitals and associated medical office buildings, regional rehabilitation and addiction recovery facilities, financed by the issuance of more than $200 million in bonds secured by mortgages on the acquired real property
  • Representation of the Resolution Trust Corporation in connection with the sale at a two-day public auction of some 450 parcels of improved real estate in Colorado and New Mexico, including directing title review and corrective measures developing contract and closing document forms, negotiating the auctioneer's and title company's contracts with the RTC and supervising the preparation, execution and delivery of closing documents
  • Representation of institutional investors in connection with their purchase, mortgaging and leaseback of undivided interests in a $550 million electrical generating unit and related common facilities in northwestern Colorado
  • Representation of a Fortune 500 company in connection with the sale of its corporate headquarters facility and 200 acres of surrounding open space, while representing the same client in negotiating a lease of 15 floors of a Denver office building to replace the former headquarters facility
