Asset-Based Finance

Asset-Based Finance

Faegre Baker Daniels handles all types of asset-based lending transactions, including those involving discrete types of collateral (personal property, real property, or intellectual property); executory contracts; government contracts; agricultural products; collateral in multiple states or in other countries; borrowing base concepts; subordinated debt; mezzanine financing; intercreditor agreements; "secret liens" and other matters important to asset-based lending clients.

We bring unique value to our asset-based lending clients by integrating our experience in structuring, negotiating and documenting asset-based lending transactions with our experience in workouts, asset liquidation, bankruptcy, and litigation matters. Combining our strengths in these areas, we are able to provide comprehensive, strategic, and market-leading legal counsel in the area of asset-based lending.

On a typical newly originated asset-based lending transaction, our work generally involves evaluating fraudulent transfer, perfection, priority and other collateral and credit issues, structuring the credit facility, negotiating and drafting credit and collateral documents, and taking appropriate actions to obtain perfection and appropriate priority of liens and security interests.

We address troubled asset-based lending credits with strategies developed through our work with workouts, liquidations, bankruptcies, and lender liability issues. We also represent our asset-based lending clients in workouts, liquidations, and bankruptcies, and in connection with debtor-in-possession financing, borrowers emerging from bankruptcy and persons buying assets from bankrupt entities.
