Gary concentrates his practice in technology and intellectual property law. He works with in-house counsel as well as key business and technical people to help companies maximize the value of their technology and intellectual property.
IP Transactions. Gary's practice focuses primarily in the area of technology and licensing transactions. He counsels clients on structuring, drafting, negotiating and reviewing technology and intellectual property agreements—both as licensors and licensees, as well as in joint development agreements, technology transfer, outsourcing, strategic alliances and joint ventures. He regularly works hand-in-hand with business people in devising negotiation strategies, and often serves as the lead negotiator in complex technology, trademark and outsourcing agreements. Gary also has extensive experience handling the information technology and IP-related aspects of M&A deals of all sizes.
With respect to his work in this area, Gary has advised both large established companies and organizations including Boston Scientific, Target, 3M, Cargill, Wells Fargo, US Bank, Malt-O-Meal, Fair Isaac, American Express, Carlson Companies, St. Paul Companies and United Health Group, as well as smaller companies including Vital Images, Primera Foods and Vitality Foodservice. He has negotiated agreements on behalf of clients with major technology and intellectual property holders and solution providers including Microsoft, IBM, Intel, SAP and Oracle, and with food and beverage manufacturers including Pepsi and Quaker.
Patent Litigation Support. In addition to his IP transactional work, Gary provides technical support for patent litigation, particularly in the area of computer software and Internet technologies. Building upon skills and experience developed over years of patent prosecution work, Gary works with the litigation team on claim construction issues, learning the relevant intricacies of accused systems and methods, and prior art and invalidity analyses. Clients in this area include Digital River and Thomson Reuters.
Technical and Nonlegal Experience. Gary's prior nonlegal work experience in the software and technology fields allows him to effectively function as a liaison between business people, technical people and the law when working with clients to protect, exploit and license technology and software. Before attending law school, Gary worked for Systems Research & Applications Corporation (now SRA International, Inc.) as a software engineer and consultant in applied mathematics and systems analysis. While at SRA, he was responsible for developing and implementing computer systems and operating procedures for various business and military applications. He also prepared and presented contract proposals for creating information systems and served as the technical leader for the development of these projects.
Gary has spoken and authored several articles on a variety of intellectual property and technology topics including bankruptcy concerns in IP negotiations, software investment risk, outsourcing, international IP issues, protecting data and software over the Internet, and the legal aspects of encryption and data privacy. He was featured as an "Executive Who's a Standout Before Age 40" in Corporate Report magazine, and was recognized as a leading practitioner in Euromoney's Guide to the World's Leading Technology, Media & Telecommunications Lawyers (3rd edition)
