Jennifer Miernicki's practice encompasses the negotiation, administration and restructuring of commercial financial transactions, representing financial institutions, mezzanine lenders, investors and borrowers. She also advises clients in the financial services industry on current federal regulatory issues and represents tribes, lenders and lessors in tribal financings.
Commercial Transactions
Jennifer has worked as counsel to commercial banks, financial institutions and other lenders in connection with commercial lending transactions, including real estate financing, asset-based lending, and complex senior and mezzanine debt financing. She has also worked on a number of transactions requiring the restructuring of public and private borrowers in order to maximize returns to lenders and investors. Recent transactions in which Jennifer has assisted as lender's counsel include:
- $225 million syndicated, secured credit facility to producer of dairy products
- $100 million syndicated, unsecured credit facility to a real estate brokerage firm
- $50 million purchase and restructuring of revolving credit facility to a public company specializing in international geophysical services for the mining and oil industries
- $40 million syndicated, secured credit facility to a commodities trading and marketing firm
- $40 million debtor-in-possession letter of credit facility to automotive company restructuring under Chapter 11
- $37 million secured term and revolving credit facilities to a domestic honey products manufacturer
- $30 million revolving credit facility to an international supply chain service provider to the aerospace and defense industries
- $20 million unsecured revolving credit facility to a public company producing bedding products for domestic and international sale
- Restructuring of a $35 million syndicated revolving and term credit facility of manufacturing borrower to reset financial covenants and more fully secure position of senior and mezzanine lenders
Although her practice focuses on lender representation in commercial transactions, Jennifer also works with public and private companies to obtain, properly structure and negotiate credit facilities.
Indian Tribal Finance
Jennifer counsels both lenders and tribes nationwide in the area of Indian tribal finance, assisting clients in analysis of tribal laws, federal regulatory approvals and considerations unique to deals involving casinos, hotels, tax-exempt notes and equipment leases. Recent work in this area includes:
- Counsel to the Nottawaseppi Huron Band of the Potawatomi and the FireKeepers Development Authority in connection with a $385 million syndicated revolving and term credit facility to repay senior notes and provide working capital
- Lender's counsel in connection with a $25 million revolving and term credit facility to finance working capital needs of existing gaming and entertainment facility
- Lender's counsel in connection with a $25 million term credit facility to finance capital expenditures of a tribal gaming enterprise, secured by gaming assets
- Lender's counsel in connection with the restructuring of multiple credit facilities to tribe and tribal enterprise with $15 million outstanding indebtedness to lenders
- Lender's counsel in connection with $7 million term loan secured by non-Indian land real property
