Jim's practice focuses on corporate representation of privately held clients, including mergers and acquisitions, complex contract transactions, and general counsel-type representation. Jim also specializes in sports and promotion law.

Jim has represented all types of entities, and associated management and owners, in a full range of corporate contexts and transactions, including formation; financing (secured and unsecured); executive and employee employment and benefit arrangements; purchase, sale and lease arrangements; reorganizations; liquidations; product and intellectual property distribution, exploitation and licensing arrangements; sponsorship and promotional arrangements; general contracting; risk management; and dispute resolution.

Jim has extensive experience in asset and stock sales and purchases, corporate reorganizations and recapitalizations, and national acquisition and rollup programs, including transactions in the hospitality, health care, retail, restaurant, franchise, sports and entertainment industries. He also has significant experience in the formation of incorporated and unincorporated entities. Jim has had broad experience in creating and analyzing complex corporate and contractual arrangements, and related documentation in regulated and unregulated contexts. Jim also provides ongoing general corporate representation and contracting services for local, regional, national and international clients.

Jim has significant experience with professional baseball-related clients. Jim provides comprehensive services for the Colorado Rockies Major League Baseball club, including drafting, reviewing and negotiating sponsorship, promotional, sweepstakes, ticketing, transportation, stadium use and player contracts and arrangements, as well as corporate and partnership transactions. Jim was one of the lead attorneys for the development and construction of Salt River Fields at Talking Stick, the new spring training home of the Colorado Rockies and the Arizona Diamondbacks that is located on the Salt River Pima Maricopa Indian Community reservation in Scottsdale, Arizona. Jim also represented Liberty Media Corporation in connection with its purchase of the Atlanta Braves from Time Warner Inc.

Jim provides extensive services for other sports and entertainment clients in the areas of contracting, intellectual property, and mergers and acquisitions, including drafting, reviewing and negotiating team, corporate and event sponsorships; licensing, promotional, spokesperson, sweepstakes, affinity credit card, internet contracts and arrangements; stadium use and naming rights agreements; and purchases and acquisitions of sports properties. Jim also participates in dispute resolution with leagues and governing bodies.  Among these clients are USA Hockey, Inc. (the national governing body for ice hockey in the United States); Vail Valley Foundation (who organizes World Cup and international skiing and snowboarding events at Vail and Beaver Creek in Colorado), USA Taekwondo, Inc. (the national governing body for taekwondo in the United States), USA Basketball (the national governing body for basketball in the United States), Grand Junction Rockies, (minor league baseball), RockCorps, LLC (an international concert and event promoter), Vail Resorts, Inc., and Steamboat Ski and Resort Corporation.

Jim represents clients in a variety of intellectual property matters, including the sale, purchase and licensing of intellectual property; brand management; combating unauthorized use of client's properties; and participating in dispute resolution.

Jim provides extensive promotional and sweepstakes services for a variety of clients, including Einstein Noah Restaurant Group, Six Flags, Inc., Gander Mountain Company, Crocs, Inc., The Gates Corporation, and various retail, sporting and entertainment companies.

Before attending law school, Jim was a practicing Certified Public Accountant with the Los Angeles office of Ernst & Young, where he was a member of the firm's Entrepreneurial Services Group. His practice at Ernst & Young focused on tax compliance and consulting for emerging growth companies.
