Jim Pfau represents financial institutions and other clients in a variety of complex financing and other commercial transactions, including senior secured and unsecured loans, mezzanine and second-lien financings, private equity investments, and commercial sales of goods and services. His work has included service in the following roles:
- Agent's and lender's counsel in acquisition financing for numerous FCC-regulated radio and television broadcasters
- Agent's counsel in credit facilities for bank holding companies to finance additional bank acquisitions and to provide liquidity for public debt
- Borrower's counsel in secured and unsecured lines of credit from banks and private shelf arrangements with non-bank lenders
- Agent's counsel in loans to public utilities and their holding companies, including transactions secured by pledges of the borrowing utility's own secured bonds
- Agent's and lender's counsel in mezzanine loans to manufacturers, FCC-regulated broadcasters and others, including transactions with contingent interest, warrants and similar compensation
- Investor's counsel in a preferred voting equity investment in a multiple-market radio broadcasting holding company
- Lender's counsel on various mortgage warehouse loans, including workouts
- Counsel to retailers on various in-store outsourcing arrangements
- Counsel to manufacturers, educational institutions and others in connection with significant purchases of equipment and software, and in connection with purchase document forms
- Counsel to the firm (Faegre Baker Daniels) on most of its significant software licensing arrangements
