Jonathan's practice focuses in the areas of securities regulation, corporate financing, mergers and acquisitions and corporate governance for a variety of private and publicly held clients.

Securities Offerings and Financing Transactions

Public Offerings

Jonathan has represented numerous companies and investment banks in connection with billions in securities offerings, including initial public offerings, secondary offerings, registered direct offerings, Rule 144A offerings, and foreign offerings. Recent transactions include:

  • Representing SPS Commerce in its IPO and two secondary offerings
  • Representing ValueVision Media in two common stock offerings and Datalink in a common stock offering
  • Representing Gander Mountain in its IPO 
  • Representing Northern Oil and Gas in bought deal and a registered direct offering
  • Representing Robert W. Baird as managing underwriter for an offering by RC2 and California Water Supply 
  • Representing the underwriters in the IPO and two follow-on offerings for Titan Machinery
  • Representing the underwriters in initial and seasoned issuer public offerings for Synergy Resources, Augme Technologies, Odyssey Marine Exploration, Enteromedics, Multiband, Electromed, PFSweb, LodgeNet, Everlast Worldwide, Uroplasty, Rocky Shoes & Boots, Access Integrated Technologies, Del Frisco's Restaurants and Image Sensing Systems
  • Representing Hutchinson Technology in its 144A convertible subordinated notes offerings and Wells Fargo in numerous underwritten debt and structured product offerings

Jonathan also represents public companies in connection with going private transactions, issuer tender offers for debt and equity, accelerated stock repurchases and other security purchase programs.

Private Placements and Other Financing Transactions

Jonathan represents emerging companies, venture capital funds, hedge funds and private equity funds in significant private placements of debt and equity securities and issuers, placement agents and investors in connection with PIPEs and Rule 144A offerings. Jonathan also represents public companies including ValueVision Media, H.B. Fuller and BASF in their strategic investments. Jonathan represents issuers such as Tornier, mPay Gateway, Chamilia, Tactile Systems Technology, Impres Medical, Gearworks, SPS Commerce, Spanlink Communications and Calabrio in venture capital rounds and other private placements. He also represents investors such as Split Rock Partners, SightLine Partners, WhiteBox Advisors, Black River Asset Management and Northern Lights Ventures in connection with investments. Moreover,  Jonathan has represented issuers, placement agents and investors in numerous PIPEs.

Mergers and Acquisitions

Jonathan represents buyers and sellers in a variety of public and private transactions involving cash, stock, debt and property as consideration. Recently, Jonathan represented:

  • Gearworks in its merger with Xora
  • General Mills in connection with multiple dispositions
  • Thomson Reuters in multiple acquisitions
  • Stylmark in multiple acquisitions
  • Spanlink Communications in the spin-off of its Calabrio software business
  • Advanced BioEnergy in its acquisitions of Heartland Grain Fuels and Indiana Renewable Fuels
  • Optical Solutions in its sale to Calix Networks
  • Stellent in its acquisition of Optika and e-OneHundred Group and sale to Oracle

Corporate Governance and Counseling

Jonathan represents public companies, including SPS Commerce, ValueVision Media, Datalink, Advanced BioEnergy, HMN Financial, Hutchinson Technology Incorporated, IKONICS, and Oakridge Holdings, providing him with significant experience with SEC reporting, corporate governance matters, resales of restricted securities and equity compensation matters.

Jonathan, a member of the firm's emerging companies practice area, regularly advises growing companies such as Tornier, mPay Gateway, Spanlink Communications, SPS Commerce, Tactile Systems Technology, ObjectFX and API Outsourcing in matters including corporate governance, bank financings, executive compensation, technology licensing and complex agreement preparation.
