Matt Kuhn has a comprehensive corporate practice that includes counseling clients on capital markets transactions, mergers and acquisitions, corporate governance and securities regulations.
Capital Markets Transactions
Matt represents issuers, underwriters, agents and investors in variety of capital-raising transactions. Transactions on which Matt has played a significant or leading role include:
- Representing SPS Commerce, Inc. in its IPO and follow-on offerings
- Representing the underwriters in the IPO and follow-on offerings of Titan Machinery Inc.
- Representing Piper Jaffray & Co. in follow-on offerings of GenMark Diagnostics, Inc. and IntegraMed America, Inc.
- Representing Split Rock Partners in numerous venture capital investments
- Representing issuers in venture capital and bridge financings
- Representing issuers such as Archer-Daniels-Midland Company and Ameriprise Financial, Inc. in debt tender offers
- Representing placement agents such as Craig-Hallum Capital Group LLC and ThinkEquity LLC in multiple PIPE transactions
Mergers and Acquisitions
Matt represents buyers, sellers, and financial advisors in domestic and international M&A transactions. Matt's M&A experiences include transactions involving the healthcare, manufacturing, software, consumer products and chemical industries. Notable M&A transactions in which Matt has played a significant role include:
- H.B. Fuller Company's $395 million acquisition of Forbo Group's industrial adhesives business
- Vital Images, Inc.'s $273 million sale to Toshiba Medical Systems Corp.
- PLATO Learning, Inc.'s $145 million going-private sale to a fund affiliated with Thoma Bravo
- The Caldrea Company's sale to S.C. Johnson & Son, Inc.
- Multiple acquisitions by Pella Corporation, including its acquisition of EFCO Corp.
- Multiple business unit divestitures by FICO
Matt also has significant experience representing companies forming joint ventures and assisting financial advisors with the preparation of fairness opinions.
Securities Regulation and Corporate Governance
Matt regularly assists publicly held companies such as Piper Jaffray Companies, Sunshine Heart, Inc. and IKONICS Corporation with the preparation of SEC reports and proxy statements. Matt led the Form 10 filing and NASDAQ listing of Sunshine Heart that occurred in February 2012. He also regularly advises public and private companies on corporate governance matters.
Additional Experience
Prior to joining Faegre Baker Daniels, Matt worked as a contract analyst at Guy Carpenter & Company, one of the world's largest reinsurance intermediaries, where he drafted and reviewed reinsurance treaties for numerous lines of business.
