Pat Cross advises the firm's life sciences, health care and technology clients on mergers, acquisitions and joint ventures. Pat also helps clients negotiate research and development collaborations, analyze technology transfer and licensing issues, and develop regulatory compliance strategies, including anti-kickback, Stark, Medicare/Medicaid, antitrust, tax-exemption, HIPAA and HITECH compliance. He combines his experience in structuring and negotiating complex corporate transactions with his knowledge of the complicated regulatory environment in which health and life sciences companies operate to provide solid, practical advice to emerging and established companies. Pat has counseled health systems and pharmaceutical and medical device companies on structuring joint ventures and strategic alliances and related licensing arrangements.
Pat is a frequent speaker on corporate governance and health care regulatory matters, including antitrust, Accountable Care Organization, "meaningful use" of electronic health records, clinical integration, joint ventures, health care fraud and abuse, health information technology and corporate compliance issues.

- Lead counsel on the integration of regional, multi-hospital system into a major hospital system
- Lead counsel to one of the nation's largest health systems on the creation and funding of dozens of joint ventures, including hospitals and ambulatory surgery centers
- Represented tax-exempt entities in strategic alliances and joint ventures with for-profit health care entities
- Organized new tax-exempt entities to acquire and operate rural community hospitals
- Served as counsel to a strategic alliance organized by some of Indiana's leading public and private health care institutions to develop and operate a groundbreaking regional health information exchange
- Assisted major university technology transfer office with creation of life sciences and technology companies using intellectual property licensed from the university
- Organized a consortium of major universities focused on developing advanced manufacturing processes for the pharmaceutical industry
- Lead counsel in a joint venture transaction between a tax-exempt health system and a national for-profit entity for the development and management of ambulatory surgery centers
- Lead counsel in the negotiation of the sale and purchase of a network of community cancer clinics
- Lead counsel in the negotiation of an international joint venture to develop a commercial clinical research organization focused on Phase 1 oncology clinical trials
- Lead counsel in the development of an oncology co-management company joint venture
- Represented numerous health systems, hospitals, and multi- and single-specialty physician groups in the negotiation of exclusive and non-exclusive professional services agreements
- Advised providers and payors on the development of accountable care organizations
