Peggy Steif Abram

Peggy Steif Abram advises clients on business matters including corporate governance, SEC reporting, contracts, financing, compliance and risk management. She is a trusted business adviser whose experience enables her to understand how a legal matter relates to the business goals of her client, to anticipate potential problems and to strategize and implement workable, creative solutions. She focuses on how daily decisions advance her clients' business objectives, and has particular expertise in crafting policies and procedures to mitigate risk across the full spectrum of business processes.

For the past several years, she has provided general counsel services and is corporate secretary to Hutchinson Technology Incorporated, a global technology manufacturer with disk drive components and medical device businesses. As general counsel on the Hutchinson legal team, she is responsible for ongoing compliance, reporting and governance obligations and major corporate transactions, as well as coordinating legal services in areas such as employment law, intellectual property, international business, real estate and litigation.

Peggy is regularly involved in a broad variety of corporate matters, including:

  • Ongoing reporting and compliance matters, including disclosure practices, preparation of proxy materials and periodic reports, and addressing obligations relating to Section 16 and Rule 144 compliance
  • Corporate governance, including board and shareholder relations issues
  • Private debt placements and other financing arrangements, including equipment leasing and sale-leaseback transactions
  • Contract negotiations and ongoing business review and documentation
  • Public equity and debt offerings
  • Risk management and records management programs and compliance
  • Employee compensation plans and arrangements

Peggy is a partner in the firm and has practiced in Faegre Baker Daniels' Minneapolis office since 1986. She is currently president of the Faegre Baker Daniels Foundation, which supports the firm's communities by providing funding to social, cultural and legal nonprofit organizations. She is also currently a member of the firm's diversity committee.
