Diana G. Palmer

Associate

Diana Palmer is a member of the Faegre Baker Daniels insurance industry team.  As a member of this team, Diana has worked with insurers, health maintenance organizations, and related entities on acquisitions, company licensure, and a variety of regulatory matters. 

Diana also has experience counseling established and emerging private companies, nonprofit corporate clients, and broker dealers on a wide range of issues, including corporate governance, entity formation, general contract and commercial law matters, municipal finance, mergers and acquisitions, commercial feed and fertilizer regulatory compliance, Iowa eminent domain law and procedures, and licensing for international exports.

  • Entity Formation and Corporate Counseling. Diana has extensive experience in the formation and start up of Iowa corporations, limited liability companies, and nonprofit corporations. She has also assisted in multiple private placements of securities and counseled on related corporate governance matters.
  • Corporate Transactions. Diana has assisted in the sale, purchase and restructurings or mergers of companies such as GeoLearning, Inc., Musco Sports Lighting LLC and its subsidiaries, and Pioneer Hi-Bred International, Inc.
  • Broker Dealers.  Diana has assisted and advised broker-dealer clients in drafting various corporate formation and internal governance documents.
  • Eminent Domain. Diana has represented utility clients in various corridor acquisitions, including acquisition by eminent domain.
  • Municipal Finance. Diana has assisted and advised clients in the issuance of public bonds for projects, including water and wastewater systems, prison infrastructure, and a resort park.
  • Commercial Feed and Fertilizer Regulatory Compliance. Diana has extensive experience working with regulators in various states to advise clients on proper licensing and labeling requirements for commercial feed and fertilizer and the development of standard operating procedures related to feed labeling.
  • Licensing. Diana has advised clients on the proper requirements and procedures for obtaining licenses to export agricultural products to Iran.
