Tom Morgan joined the corporate practice at Faegre Baker Daniels in 1976 and has been a partner since 1981. Tom served as Chair of the firm's Management Committee for six years, completing his term in February 2010.

Tom's practice is concentrated in the merger and acquisition and general corporate areas. For several years, Tom has been ranked among The Best Lawyers in America for corporate law.

In the merger and acquisition area, Tom has represented purchasers, sellers, lenders and equity participants in a broad variety of transactions. Illustrative matters include:

  • Representation of Lutheran Brotherhood in connection with the merger with Aid Association for Lutherans 
  • Representation of ReliaStar Financial Corp. in connection with the acquisition of ReliaStar by ING Groep N.V.  
  • Representation of ReliaStar Financial Corp. in connection with multiple acquisitions, including among others the acquisition by merger of Security-Connecticut Corporation (including its principal subsidiaries Security-Connecticut Life Insurance Company and Lincoln Security Life Insurance Company), the acquisition by merger of USLICO Corp. (including its principal subsidiaries United Services Life Insurance Company and Bankers Security Life Insurance Society), the acquisition by merger of Pilgrim Capital Corporation, and the stock acquisition of Successful Money Management Seminars, Inc. 
  • Representation of Malt-O-Meal Company in connection with the asset acquisition of the bagged cereal business of Quaker Oats Company 
  • Representation of Redmond Products, Inc. in connection with the acquisition by merger of Redmond and affiliated entities by Bristol-Myers-Squibb Company 
  • Representation of Condux Corporation in connection with the stock acquisition of Condux by an affiliate of Hansons plc 
  • Representation of Hubbard Milling Company in connection with the acquisition by merger of Hubbard by Windy Hill Pet Food Company, Inc.

In the general corporate area, Tom has served as corporate counsel to major privately-held corporations, advising senior management on a variety of governance, business, succession, and strategic matters.
