Since joining the firm in 2005, Treasa Burke has provided counseling and transactional support to clients in industries ranging from agriculture to health care. Treasa focuses her practice in the areas of real estate sales and acquisitions, leasing, housing and community development and transactions involving real estate associated with health care organizations.
She has also been involved with common interest community regulation, lender and borrower financing transactions, mezzanine finance transactions, 1031 tax deferred exchange work, and high value residential real estate acquisitions.
Treasa focuses on best serving each client's legal and financial needs by applying first-class project-management skills to every matter.
Sales & Acquisitions. Treasa has represented clients in acquisition and divestiture of real property in nearly all 50 states. She handles real estate due diligence and conveyances for complex corporate merger and acquisition transactions. Illustrative transactions include:
- Acquisition and divestment of commercial and industrial real property related to agriculture businesses
- Target Corporation's acquisition and development of Target stores in Colorado, Utah and Alaska
- Coordination of real estate due diligence and negotiation of real estate contract provisions for high-value merger and acquisition transactions in Nebraska, Texas, Kansas, Missouri, and Louisiana
- Federal Trade Commission forced divestiture transactions
- Securitization of ancillary property rights, including beneficial easements and licenses
Leasing. Treasa represents both landlords and tenants in the negotiation of leases for retail, agricultural and office properties. Representative transactions include:
- Negotiation of railroad-track, land and usage leases with national and regional transportation companies
- Retail space leasing for in-line space and high-end shopping center locations
- Long-term ground lease drafting for residential and retail complexes
Housing and Community Development. Treasa has assisted both nonprofit and for-profit clients in obtaining tax credit equity and mortgage financing for mixed-use projects and affordable housing developments in Colorado. Clients include non-profit corporations specializing in low-income housing, local and regional housing authorities, and housing lenders and investors. Projects include: negotiation of purchase agreements, drafting primary and ancillary loan and security documentation, review and revision of low-income housing program documentation, and engagement in all aspects of real estate due diligence.
Health Care. Treasa has advised physician and hospital organizations in federal regulation compliance as it relates to their real property holdings and interests. She frequently represents both individual and small practice groups in the negotiation of office space leases. Treasa has handled large-scale real estate due diligence and portfolio restructuring for hospital systems in conjunction with their acquisition of practice groups.
