Brandon C. Mason

Partner

Brandon Mason is a partner in the corporate group at Faegre Baker Daniels. Primarily a deal lawyer, his practice focuses on mergers and acquisitions and capital markets transactions. Brandon also counsels public and private company clients and investment firms in many areas of corporate and securities law, including corporate governance and securities regulation.

Mergers & Acquisitions

Brandon represents both buyers and sellers in connection with the acquisition and sale of companies. Recent M&A transactions in which Brandon has played a key role include:

  • Representation of General Mills in its successful $820 million tender offer for Annie's and its $765 million sale of Green Giant
  • The $1.7 billion acquisition of The Pantry by Alimentation Couche-Tard
  • The sale of Datalink Corporation to Insight Enterprises
  • Acquisitions of a number of e-commerce and technology companies by a major national retailer
  • Strategic acquisitions of leading regional homebuilders by a growing national homebuilder
  • Several transactions involving the purchase or sale of businesses in the financial services sector, including multiple financial advisory and investment banking firms, banks and a credit card payment processor

Capital Markets

In the capital markets space, Brandon advises both issuers and underwriters as they access the debt and equity capital markets, whether through registered offerings or private securities transactions. Brandon's recent experience with capital markets transactions includes:

  • Counseling large public companies in connection with registered debt transactions, secondary offerings of stock, exchange offers and other capital markets matters
  • Advising a consumer financial services company, in connection with its initial public offering (IPO) and listing on the New York Stock Exchange
  • Representation of issuers and underwriters in connection with billions of dollars of debt and equity financing, including PIPE transactions, at-the-market equity offering programs, and the issuance of high yield debt under Rule 144A and Regulation S private placements

Other Experience

Before returning to his native Minnesota to join Faegre Baker Daniels, Brandon practiced for several years as an associate at Simpson Thacher & Bartlett LLP in New York. During law school, Brandon externed with the New York City law department, where he worked on public-private partnerships for community and economic development. He also served as managing editor of the Columbia Law Review and interned in the chambers of Judge Chester J. Straub of the United States Court of Appeals for the Second Circuit.
