PLI's Drafting and Negotiating Corporate Agreements 2012

Overview

On February 6, W. Morgan Burns will lead a session on "Letters of Intent, Confidentiality and Standstill Agreements" at Practicing Law Institute's program "Drafting and Negotiating Corporate Agreements 2012" in Chicago. Topics to be discussed include:

  • Deciding to use a letter of intent
  • Binding and non-binding terms
  • Confidentiality terms and exceptions
  • Exclusivity and standstill arrangements

This year's program is designed to teach attendees how to distill a client's objectives into a complete, clearly written and enforceable agreement, and how to identify what issues are most likely to come up in a negotiation of that agreement.
