Gina M. Kastel

Vice Chair and Chief Operating Partner

Gina Kastel is vice chair and chief operating partner at Faegre Baker Daniels, where she oversees the firm’s day-to-day operations. She has served on FaegreBD’s management board and executive committee since 2015, and she previously led the firm’s health care group.

In her legal practice, Gina has helped a wide range of health care and nonprofit organizations navigate regulatory complexity and manage legal risk. She enjoys helping clients solve problems and takes a pragmatic, business-focused approach to client counseling and advising. 

Health Care Expertise

  • Advise health care providers, medical device manufacturers, consulting organizations and software companies regarding health information privacy and security issues, including compliance with HIPAA's privacy and security regulations, state medical records laws, and the federal substance abuse records act
  • Assist clients in assessing and remediating data security breaches and providing notice to affected individuals and government agencies
  • Advise hospitals, physician practices and medical device manufacturers regarding compliance with the federal Anti-Kickback statute, Stark Law, False Claims Act, Physician Payments Sunshine Act and similar state laws
  • Help clients comply with facility and individual practitioner licensure requirements, including prohibitions on the corporate practice of medicine, fee splitting and referral restrictions
  • Represent health care entities in internal investigations and actions brought by the Office of Inspector General, Department of Justice, Office of Civil Rights and Minnesota Attorney General
  • Assist clients in mergers, acquisitions, and forming and restructuring joint ventures, subsidiaries and other affiliates

Exempt Organizations Expertise

  • Counsel public charities, private foundations, trade associations and other exempt organizations on maintaining their tax-exempt status, complying with the private foundation excise tax rules and avoiding excess benefit transactions
  • Advise charitable organizations on charitable solicitation laws
  • Assist with corporate transactions, including the formation of for-profit and nonprofit subsidiaries
  • Represent nonprofit organizations in IRS audits
  • Advise nonprofit boards of directors regarding corporate governance, fiduciary duties, executive compensation and managing conflicts of interest
  • Counsel boards and staff regarding administration of endowment funds and other restricted gifts
