Jeffrey (Jeff) P. Justman


Jeff Justman represents clients with complex business litigation matters in state and federal courts across the country. His two years of experience as a federal law clerk help him identify, craft and present winning legal arguments on behalf of his clients, both at the trial and appellate levels. Jeff specializes in securities and shareholder litigation, appellate matters, and privacy and cybersecurity disputes. 

Corporate & Securities Litigation

Jeff has particular experience defending corporations and their officers and directors in securities and derivative litigation involving executive compensation, accounting restatements, the Foreign Corrupt Practices Act, data breaches and other general allegations of mismanagement, as well as in shareholder suits, partnership disputes, and other corporate litigation.

Appellate Litigation

Jeff is admitted to practice in six federal courts of appeals and has litigated cases in all stages of appeals, from interlocutory appeals in intermediate appellate courts to extraordinary writs at the Supreme Court of the United States. Having clerked for two judges at the Eighth Circuit Court of Appeals, Jeff specializes in litigation and advocacy before the Eighth Circuit. 

Data Breach and Data Privacy Litigation

Jeff also represents clients in data breach and data privacy litigation, including a Fortune 100 client faced with class action and shareholder derivative litigation arising out of the data breach.

  • Representing Target, successfully obtained orders dismissing securities and ERISA class action complaints, In re Target Corp. Securities & ERISA Litigation, 2017 WL 3267708 (D. Minn. July 31, 2017)
  • Representing General Mills, successfully obtained order compelling individual arbitration of ADEA claims, reversing the decision below. McLeod v. General Mills, Inc., 856 F.3d 1160 (8th Cir. 2017)
  • Representing Aventine, successfully obtained reversal of judgment below with instructions to enter judgment for Aventine on all claims in commercial contract case. Aventine Renewable Energy, Inc. v. Glacial Lakes Energy, LLC, 843 F.3d 736 (7th Cir. 2016)
  • Representing Hutchinson Technology Incorporated, obtained denial of motion for preliminary injunction and subsequent dismissal of federal securities litigation arising from proposed merger. Ridler v. Hutchinson Technology Incorporated, 216 F. Supp. 3d 982 (D. Minn. 2016) (dismissal of case), Erickson v. Hutchinson Technology Incorporated, 158 F. Supp. 3d 751 (D. Minn. 2016) (denial of preliminary injunction) 
  • Representing Cirrus, successfully obtained reversal of $10 million jury verdict on non-disparagement claim, with direction to enter judgment for Cirrus. See Klapmeier v. Cirrus Industries, Inc., 2015 WL 5194755 (Minn. App. Sept. 8, 2015)
  • Representing the National Football League, successfully defended final approval of a class settlement against multiple objectors on appeal. Marshall v. National Football League, 787 F.3d 502 (8th Cir. 2015)
  • Representing Biothera, received preliminary injunction, partial summary judgment, and nearly $1 million sanctions award against its contract research organization in breach-of-contract and conversion action. See Medpace, Inc. v. Biothera, Inc., 2013 WL 1386298 (S.D. Ohio Apr. 4, 2013) (partial summary judgment); Medpace v. Biothera, Inc., 2014 WL 1689038 (Apr. 22, 2014) (sanctions award)
  • Representing Proshred, received summary judgment in favor of a franchisor against a franchisee alleging claims for fraud, breach of contract and violation of state business practices laws. See Professional Shredding of Wisconsin, Inc. v. Proshred Franchising Corp., No. 1:10-cv-004757-SHS, Dkt. No. 72 (S.D.N.Y. Sept. 30, 2013)
  • Representing Regis Corporation, obtained referral of shareholder derivative action against a publicly held-Minnesota corporation alleging breaches of fiduciary duty, corporate waste and unjust enrichment to special litigation committee, see Louisiana Municipal Police Employees v. Finkelstein, 2012 WL 10057353 (Hennepin County, Minn. May 29, 2012), and subsequent dismissal of that lawsuit following special litigation committee investigation
  • Representing FSI, obtained denial of motion for temporary injunction in shareholder dispute related to proposed merger. See Calleros v. FSI Int’l, Inc., 892 F. Supp. 2d. 1163 (D. Minn. 2012)
  • Representing several guardians ad litem, successfully defended orders terminating parental rights on appeal before the Minnesota Court of Appeals
