John Marcil represents established and emerging companies, both public and private, in mergers and acquisitions; divestitures; corporate finance; capital markets and securities transactions; senior, mezzanine and subordinated loan transactions; project financings; joint ventures; and general corporate matters.

He often serves as outside general counsel for emerging and middle-market companies.

John has significant experience in the energy and natural resources, professional services, life sciences, food and agriculture, and technology industries.

John has been a partner at FaegreBD since 2000. He leads the firm's Boulder office, power and utilities practice, and private companies practice.

Mergers & Acquisitions

John handles a variety of M&A transactions such as the following:

  • Combination of the two leading demolition and environmental remediation firms and related financings
  • Sale of an energy and commodity trading subsidiary of an NYSE-listed diversified energy company
  • Recapitalization of a kiosk manufacturer by a private equity firm, which was named M&A Advisor's 2011 Retail Manufacturing/Distribution Deal of the Year
  • Minority recapitalization of a health care claims processing company by a private equity firm
  • Sale of a fiber optic network and telecommunications business of an NYSE-listed company
  • Acquisitions of clinical research businesses by a private equity sponsor and related financings

  • $230 million public offering of convertible notes of a medical products company
  • $525 million public offering of senior notes of a diversified energy company
  • $200 million 144A offering of senior notes of a real estate developer
  • Secured and unsecured revolving credit and term loan facilities
  • Senior, second-lien, subordinated and mezzanine acquisition financings
  • Section 363 acquisition of a medical products company in Chapter 11
  • Deed in lieu of foreclosure of a gold mining company
  • U.S. and Colorado local counsel on numerous international and U.S. financings
