A panel from Faegre Baker Daniels LLP, consisting of moderator Jeff Sherman, Dan Williams, and Matt Stamski will provide a free-wheeling and wide-ranging discussion of the many approaches to the drafting of corporate minutes. They will highlight the risks and pitfalls of certain techniques and best practices for corporate secretaries when recording board meetings. They will update us on "long-form" vs. "short-form" minutes; use of board portals; distribution of proposed resolutions; note retention; and electronic recordation. They will offer lessons from recent court cases and answer everything you always wanted to know about corporate minute-talking, but were afraid to ask.
About the Society
The Society of Corporate Secretaries and Governance Professionals, Inc. (the "Society"), founded in 1946 as the American Society of Corporate Secretaries, has over 3,800 members representing approximately 2,600 companies. Its members deal with public disclosure under the securities laws and matters affecting corporate governance, including the structure and meetings of the board of directors and its committees, the proxy process and the annual meeting of shareholders and shareholder relations, particularly with large institutional owners. The local Rocky Mountain Chapter of the Society holds regular meetings in and around the Denver metro area.
