Overview

Pat Cross is a transactional and regulatory lawyer with deep experience in the health and life sciences industry. In addition to being a trusted legal and strategic advisor to the clients he serves, Pat co-leads the firm’s national health and life sciences industry group.

For more than 30 years, Pat has worked closely with health care and life sciences executives and boards to develop strategies and structure deals that advance their business objectives. He combines his experience in complex corporate transactions with his deep knowledge of the regulatory environment in which health care and life sciences companies operate. His clients include regional, national, nonprofit, for-profit, established and emerging companies. He has served as outside general counsel for numerous health care companies. Pat also regularly advises clients on risk and crisis management matters.

Hospitals and Health Systems

Pat collaborates with hospital and health system executives on strategic transaction matters, including mergers, acquisitions, joint ventures, strategic alliances and outsourcing transactions, and on regulatory compliance matters, including antitrust, clinical integration, privacy and security, Stark and Anti-Kickback matters. He also has deep experience in the development of integrated delivery systems and public-private partnerships.

Life Sciences

In addition to being lead counsel in dozens of life sciences M&A transactions, Pat helps life sciences companies negotiate research and development collaborations and develop and implement technology transfer and licensing strategies.

Health Care Innovation

Pat helps for-profit and nonprofit companies identify new ways to deliver higher quality health care services more efficiently and at lower cost. He’s helped clients develop value-based payment strategies and programs, financial and clinical integration models, commercial and Medicaid health insurance products, population health strategies and new clinical delivery models, including retail clinics, concierge medicine clinics, high performance and collaborative care networks and on-site and near-site employee clinics. 

Physicians & Physician Groups/Ambulatory Surgery Centers

Pat works with independent and affiliated specialist physicians and physician groups to develop strategies for hospital/physician alignment, clinically and financially integrated provider organizations, joint ventures, professional services arrangements and other strategic, regulatory and transactional matters. Pat regularly works with health systems, physician specialty groups and investors across the country on the development and operation of ambulatory surgery centers, including valuation and regulatory compliance matters.

Private Equity/Entrepreneurs

Pat has worked with numerous private equity firms and family offices focused on developing and acquiring health care businesses on transactional, regulatory due diligence and regulatory compliance matters. Pat has worked on private equity-backed deals across the country in numerous specialty areas, including ambulatory surgery centers, anesthesiology, family and internal medicine, general and pediatric dentistry, dermatology, DME, emergency medicine, gastroenterology, home health, occupational medicine, oncology and hematology, ophthalmology, otolaryngology, pain management, physical and occupational therapy, radiology, and urgent care, among others. Pat also works with entrepreneurs pursuing opportunities in health care reform and innovation, such as new health care delivery models and health information technologies.
