Matt represents a growing roster of blue chip strategic and institutional investors in connection with prospective investments in private funds and retention of third party investment advisers. This typically involves review and negotiation of fund documents, side letters and investment management agreements, preparation of review memoranda, and attendance at investment committee meetings.

Investment and Financial Service Management Counsel

Matt assists and counsels private equity firms, venture capitalists, hedge fund managers, and other investment managers regarding the formation, organization, structuring, syndication and ongoing compliance requirements of private investment funds and related management organizations. He also provides counsel on other products and services, including management contracts, marketing arrangements, strategic partnerships, vendor contracts, and mergers and acquisitions.

Investment Products and Services Experience

His practice encompasses a variety of investment products and services, including private equity and venture capital funds, hedge funds (both domestic and offshore), hybrid structures, and individually managed accounts.

Mutual Funds

Matt serves as independent legal counsel to mutual fund boards. He has participated in the organization and ongoing counseling of numerous mutual funds and in structuring investment company mergers and acquisitions.
