Overview

Paul Wolfla has been helping companies and individuals resolve disputes of all shapes and sizes for the past 25 years. Clients rely on his judgment and broad range of experience to help them resolve their most difficult and complex matters. In some cases, that may mean negotiating a resolution that achieves their goals without prolonged litigation. In others, clients enlist Paul to represent them in court, at trial or in arbitration. In all cases, Paul applies experience, practical solutions and a team-oriented approach to clients' most challenging issues.
Paul has represented a wide variety of clients throughout his career, with a focus on financial services, life sciences and technology companies. He has handled everything from individual investor’s claims to nationwide class actions and high stakes investigations. He has appeared in state and federal courts throughout the country in cases involving mergers and acquisitions, insurance coverage, intellectual property licensing, trade secrets misappropriation and other complex commercial issues.

Corporate and Securities Disputes

Paul advises corporations and their boards of directors on matters involving both federal and state securities laws, state corporate law, and duties of corporate directors. He works with clients to litigate matters related to:

  • Corporate mergers and acquisitions, unsolicited acquisition offers and corporate reorganizations, including demutualizations of mutual insurance companies
  • Securities fraud, representing both issuers and security holders, including representation of broker-dealers and registered representatives in FINRA securities arbitrations and state courts against claims of unsuitability, churning, unauthorized trading, selling away, inadequate supervision, and alleged violations of state and federal securities laws
  • Disputes between or among members of limited liability companies
  • Partnership disputes
  • Shareholder books and records demands, including demands made pursuant to § 220 of the Delaware General Corporation Law
  • Dissenters' rights

Government Investigations

Paul represents clients during:

  • Investigations by state securities regulators
  • Investigations by agencies of the U.S. government regarding compliance with the Buy American Act and the Trade Agreements Act

Commercial Litigation

Paul has experience handling litigation and pre-litigation matters relating to:

  • Class action defense 
  • Disputes arising under intellectual property and software license agreements, including FRAND-related disputes regarding royalties for Standard Essential Patents
  • Disputes regarding the co-ownership of trademarks
  • Representation of health insurance companies in claims alleging violations of the Affordable Care Act’s Guaranteed Availability Requirements
  • Representation of corporate trustees involving claims for breach of trust and breach of fiduciary duty
  • ERISA fiduciary duties and ERISA benefit disputes
  • Insurance recovery disputes on behalf of business policyholders with respect to property, general liability, professional liability, and directors and officers liability insurance policies
  • Disputes arising under commercial agreements, including asset purchase agreements, distribution agreements and commercial leases
  • Annexation contests, including remonstrance actions challenging the validity of annexation efforts
  • Corporate transaction due diligence analysis of pending litigation
