Faegre Drinker Advises Vantiva in Acquisition of CommScope Home Networks Division

A Faegre Drinker team led by business litigation partner and antitrust team co-chair Kathy Osborn represented Vantiva on complex global antitrust, export and foreign direct investment matters — including, inter alia, due diligence, integration planning and merger control filing analysis — in connection with the company’s acquisition of the Home Networks Division of CommScope. Consideration for the transaction included 25% of the common stock of Vantiva on a fully diluted basis, plus an earnout of up to $100 million. The Home Networks Division provides set-top boxes and broadband access devices to telecommunications service providers. The transaction will allow Vantiva to significantly expand its portfolio of clients, better serve consumers and expand its footprint in key geographies.

A cross-practice, cross-office team of attorneys supported Osborn on this transaction, provided substantive antitrust and regulatory advice to Vantiva and coordinated with local counsel to assess merger control filing requirements in multiple jurisdictions and ultimately submit merger control filings in Canada, Colombia and South Africa. The Faegre Drinker team included antitrust partner Alicia Batts and business litigation associate Alison Agnew; corporate partner Matthew Levy, senior counsel Angella Castille and associate Allison Schten.
